Terms of Service

The services

index365 offers two kinds of services. Track 1 is a set of on-demand tools, including automated audits such as the AI-Readiness Audit, Marketing Signal Audit, and Website Security Scan. Track 2 is custom engineering and consulting engagements for businesses.

Accounts

Some features require an account, which is managed through our authentication provider. You agree to provide accurate information, keep your credentials secure, and accept responsibility for activity under your account.

Acceptable use

You may only submit a website, domain, or URL to our audit tools if you own it or have explicit authorization to scan it. You agree to use the services in accordance with our Acceptable Use Policy, which is incorporated into these Terms.

Orders, credits, and billing

Plans are sold as subscriptions. Payments are processed by Stripe.

• Audits run on your plan's credits and are delivered to your account.
• Subscriptions are billed in advance on a recurring basis and renew automatically until canceled.
• Plan credits are allocated per billing period, do not roll over, and reset each period unless stated otherwise.

Refunds, cancellations, and credits

If a scan fails to complete or is not delivered because of a problem on our side, we automatically refund its credits and re-run it, and the refund shows on your receipt.

Because audit results are delivered to your account as soon as a run completes, individual completed audits are not separately refundable beyond the fix guarantee.

• You can cancel a subscription at any time from your account billing settings. Your plan stays active until the end of the current billing period, and you are not charged again after that.
• We do not provide partial-period refunds for the unused portion of a billing period, except where required by law.
• If you believe you were charged in error, contact us within 30 days of the charge and we will review it promptly.

Audit results and disclaimers

Our audits analyze publicly accessible signals and are provided for informational purposes. They are not exhaustive and do not guarantee any outcome, ranking, or level of security.

The Website Security Scan checks browser-visible and publicly available signals only. It is not a penetration test and is not a substitute for a professional security assessment.

Intellectual property

We own the services, including our software, content, and brand. We grant you a limited, non-exclusive, non-transferable right to use the services and the results we deliver for your own business purposes. You retain ownership of the content and inputs you provide.

Third-party services

Our services rely on third-party providers such as Clerk, Stripe, Supabase, Vercel, and Cloudflare. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

Disclaimer of warranties

The services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, index365 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data. Our total liability for any claim relating to the services will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold index365 harmless from claims, damages, and expenses arising out of your use of the services or your violation of these Terms, including any unauthorized scanning of systems you do not own or control.

Termination

We may suspend or terminate your access to the services at any time if you violate these Terms or use the services in a way that creates risk or legal exposure. You may stop using the services at any time.

Governing law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. Any dispute will be resolved in the courts located in Nevada, unless applicable law requires otherwise.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.
